Terms of Service

§ 1. General Provisions

  1. These Terms of Service define the rules for using the investment platform provided by Vertex Capital Partners Ltd. By accessing the Platform, the User agrees to be bound by these Terms.
  2. The Platform offers asset management services utilizing artificial intelligence and algorithmic trading strategies.
  3. These Terms apply to all Users, including prospective investors, current clients, and site visitors.
  4. Vertex Capital reserves the right to modify these Terms at any time. Users will be notified of significant changes via email.

§ 2. Definitions

  • Platform – Platform: The online interface and mobile application provided by Vertex Capital for account management.
  • User – User: Any natural or legal person who has registered an Account or uses the Platform's public features.
  • Account – Account: The personalized panel allowing the User to view assets and manage settings.
  • Services – Services: Investment management, financial analysis, and reporting provided by Vertex Capital.
  • Regulations – Regulations: These Terms of Service and applicable laws.

§ 3. Type and Scope of Services Provided

  1. Vertex Capital provides discretionary and non-discretionary investment management services. Strategies include Equity, Venture Capital, and Digital Assets.
  2. The Platform provides real-time visualization of portfolio performance, transaction history, and tax documents.
  3. Access to specific investment tiers is subject to minimum capital requirements and regulatory eligibility (e.g., Accredited Investor status).
  4. We strive for high availability of the Platform but do not guarantee 100% uptime due to maintenance or technical issues.

§ 4. Technical Requirements

  1. To use the Platform, the User requires a device with Internet access and a modern web browser (Chrome, Firefox, Safari, Edge).
  2. Two-Factor Authentication (2FA) is mandatory for all financial transactions and account changes.
  3. The User is responsible for maintaining the security of their login credentials and device.

§ 5. Rights and Obligations of the User

  1. The User agrees to provide true, accurate, and complete information during the registration and KYC process.
  2. The User is prohibited from using the Platform for any illegal activities, including money laundering or market manipulation.
  3. The User acknowledges that all investments carry risk, including the potential loss of principal. Past performance is not indicative of future results.
  4. The User must immediately notify Vertex Capital of any unauthorized use of their Account.
  5. The User may terminate their Account at any time, subject to the liquidity terms of their active investments.

§ 6. Final Provisions

  1. These Terms are governed by the laws of Canada for Canadian clients and Australia for APAC clients.
  2. Any disputes arising from these Terms shall be resolved through binding arbitration in the respective jurisdiction.
  3. If any provision of these Terms is found to be invalid, the remaining provisions shall remain in full force and effect.
